Role Overview

We are seeking a highly organized, strategic, and detail-oriented professional to manage the investment governance framework for our rapidly expanding asset base. This critical role sits at the intersection of Finance, Investment and Commercial, ensuring that our deal flow and execution remains compliant, controlled, and aligned with our long-term objectives and fiduciary responsibilities. You will formalize key decision-making processes and provide the analysis necessary to steer our investment trajectory.

Core Responsibilities

    • Own the Investment Committee process end-to-end, including managing the meeting cadence, setting the agenda, coordinating the preparation of necessary materials and ensuring clear meeting minutes to track all IC decision and approvals
    • Restructuring/streamlining investment decision matrices, drafting and enforcing compliance programs tied to the Company's portfolio growth
    • Leading internal compliance to the investment decision matrices and being the point of knowledge for the management team
    • Ensuring the Company is adhering to all debt, equity and other investor reporting covenants to manage all various internal risk buckets
    • Full ownership of the preparation of the debt compliance package
    • Translating regulatory requirements into internal frameworks
    • Deep involvement in the due diligence and approval process for large-scale, complex transactions, and experience supporting the creation of multi-year capital deployment or investment plans.
    • Strong communication skills to articulate policy and parameters to the Company's investment governance matrices both internally and externally
Strategic Planning & Transaction Approval
    • Annual Investment Plan: Support the development and articulation of the annual investment plan for review and approval by the Board of Directors.
    • Streamlined Approvals: Work with leadership to establish policy and parameters such that deals generally fitting within the approved investment plan can proceed with efficient internal signoffs, reducing the need for ad-hoc external approvals.
    • Material Transaction Management: Formalize and manage the process for all deal approvals, meticulously coordinating the preparation and submission of materials for both internal review and external Board-approved material transactions.
    • Process Improvement: Drive continuous improvement in all approval, governance, and planning processes to ensure they are scalable and resilient as the portfolio rapidly expands.
Preferred Qualifications
    • Investment Committee oversight experience
    • Big 4 consulting with M&A project management experience would be an asset
    • 7+ years of experience in a financial governance, compliance or risk management
    • Understanding of fund structures or experience working for infrastructure or real estate funds would be an asset
    • Proven ability to formalize informal processes and implement scalable corporate governance frameworks.
    • Exceptional organizational skills and meticulous attention to detail with the ability to manage competing, complex deadlines.
    • Strong verbal and written communication skills, with the capacity to clearly articulate complex strategic and financial information to executive leadership and board members


$160,000 - $180,000 a year

Compensation for this role is determined by several factors, including the cost of labor in specific geographic markets, and these ranges are intended to provide a helpful reference. The actual compensation offer will be based on the candidate's location, skills, level of expertise and experience, and internal equity considerations. In addition to base salary, we offer a comprehensive benefits package and, where applicable, performance-based incentives.
